RELATING TO AN ACT TO INCORPORATE CHILDREN’S GROVE | |

It is enacted by the General Assembly as follows: | |

3 | Vol. 79 #17, entitled "An Act to Incorporate Children's Grove" is hereby amended to read as |

5 | AN ACT TO INCORPORATE CHILDREN'S GROVE |
6 | It is enacted by the General Assembly as follows: |
7 | Section 1. Henry M. Gibson, John DeWolf, Parmenas Skinner, Jr., Charles B. Rockwell, |
8 | and Benjamin M. MacDougall, their associates and successors, are hereby made a corporation by |
9 | the name of "Children's Grove," for the purpose of maintaining public recreation and open space |
10 | grounds in the town of Bristol in the state of Rhode Island, where, among other year-round public |
11 | active and passive recreation uses, children may be taken for rest, recreation, and the enjoyment |
12 | of games in the summer season. |
13 | Sec. 2. Said corporation may acquire, hold, manage, and maintain under suitable |
14 | regulations such property and tracts of land for the purpose as aforesaid, with the powers and |
15 | privileges and subject to the duties set forth in Chapter 213 of the General Laws, and such other |
16 | applicable laws as are now or hereafter may be in force relating to such corporations; but the said |
17 | corporation shall have no capital stock nor shall it make any dividends nor any such division of or |
18 | from its property or income or profits among its members. |
19 | Sec. 3. The said corporation may acquire and hold by grant, gift, devise, purchase, or |

1 | otherwise, such other property, both real and personal, as it may deem be necessary or proper to |
2 | support or promote the object of said corporation, but not exceeding the sum of twenty-five |
3 | thousand dollars in value. |
4 | Sec. 4. Said corporation may dispose of any such property, both real and personal by sale, |
5 | gift, donation, or otherwise as it may deem necessary or proper to a third party; provided that, |
6 | such third party be a nonprofit or municipal corporation, and provided that, such property shall be |
7 | continued to be held, managed, and maintained for similar purposes of public recreation and open |
8 | space use. |
9 | Sec. 4. 5. All property, both real and personal, held by said corporation shall be exempt |
10 | from taxation as long as said property shall be held and revenue receipts shall be devoted to the |
11 | purposes herein stated. |
12 | Sec. 5. 6. The officers shall consist of a president, a vice president, a secretary, and a |
13 | treasurer, who shall hold offices until their successors are chosen and qualified by acceptance in |
14 | writing filed with the secretary. |
15 | Sec. 6. 7. The board of directors shall consist of the president, the vice president, the |
16 | secretary, and the treasurer of this corporation and two other persons elected at the annual |
17 | meeting or adjournment thereof, and said board of directors shall have exclusive control over the |
18 | management of all the property held in trust for the purposes as set forth in sections 2 and 3 of |
19 | this act herein. |
20 | Sec. 7. 8. The by-laws of this corporation may be amended at any meeting of the |
21 | corporation by a vote of the majority of the board of directors of those present or by written |
22 | consent of a majority of the board of directors; : Provided provided, notice of the amendment |
23 | proposed has been given at a previous meeting or sent to members, with notice of the proposed |
24 | meeting, at least five days previous to the date of such meeting. |
25 | Sec. 8. 9. The annual meeting shall be held in the town of Bristol or in such other location |
26 | as the majority of the board of directors shall determine. |
27 | Sec. 9. 10. This act shall take effect upon its passage. |

RELATING TO AN ACT TO INCORPORATE CHILDREN’S GROVE | |

1 | This act would allow a private corporation, named Children's Grove, which was |
2 | incorporated by an act of the General Assembly in 1910, to convey its open space and |
3 | recreational property to any nonprofit third party or a municipal corporation; provided that, such |
4 | property shall be continued to be held, managed, and maintained for similar purposes of public |
5 | recreation and open space use. |
6 | This act would take effect upon passage. |
