RELATING TO AN ACT TO INCORPORATE CHILDREN’S GROVE

     SECTION 1. Private Acts of the Rhode Island General Assembly, January Session 1910,
Vol. 79 #17, entitled "An Act to Incorporate Children's Grove" is hereby amended to read as
follows:
     AN ACT TO INCORPORATE CHILDREN'S GROVE
     It is enacted by the General Assembly as follows:
     Section 1. Henry M. Gibson, John DeWolf, Parmenas Skinner, Jr., Charles B. Rockwell,
and Benjamin M. MacDougall, their associates and successors, are hereby made a corporation by
the name of "Children's Grove," for the purpose of maintaining public recreation and open space
grounds in the town of Bristol in the state of Rhode Island, where, among other year-round public
active and passive recreation uses, children may be taken for rest, recreation, and the enjoyment
of games in the summer season.
     Sec. 2. Said corporation may acquire, hold, manage, and maintain under suitable
regulations such property and tracts of land for the purpose as aforesaid, with the powers and
privileges and subject to the duties set forth in Chapter 213 of the General Laws, and such other
applicable laws as are now or hereafter may be in force relating to such corporations; but the said
corporation shall have no capital stock nor shall it make any dividends nor any such division of or
from its property or income or profits among its members.
     Sec. 3. The said corporation may acquire and hold by grant, gift, devise, purchase, or
otherwise, such other property, both real and personal, as it may deem be necessary or proper to
support or promote the object of said corporation, but not exceeding the sum of twenty-five
thousand dollars in value.
     Sec. 4. Said corporation may dispose of any such property, both real and personal by sale,
gift, donation, or otherwise as it may deem necessary or proper to a third party; provided that,
such third party be a nonprofit or municipal corporation, and provided that, such property shall be
continued to be held, managed, and maintained for similar purposes of public recreation and open
space use.
     Sec. 4. 5. All property, both real and personal, held by said corporation shall be exempt
from taxation as long as said property shall be held and revenue receipts shall be devoted to the
purposes herein stated.
     Sec. 5. 6. The officers shall consist of a president, a vice president, a secretary, and a
treasurer, who shall hold offices until their successors are chosen and qualified by acceptance in
writing filed with the secretary.
     Sec. 6. 7. The board of directors shall consist of the president, the vice president, the
secretary, and the treasurer of this corporation and two other persons elected at the annual
meeting or adjournment thereof, and said board of directors shall have exclusive control over the
management of all the property held in trust for the purposes as set forth in sections 2 and 3 of
this act herein.
     Sec. 7. 8. The by-laws of this corporation may be amended at any meeting of the
corporation by a vote of the majority of the board of directors of those present or by written
consent of a majority of the board of directors; : Provided provided, notice of the amendment
proposed has been given at a previous meeting or sent to members, with notice of the proposed
meeting, at least five days previous to the date of such meeting.
     Sec. 8. 9. The annual meeting shall be held in the town of Bristol or in such other location
as the majority of the board of directors shall determine.
     Sec. 9. 10. This act shall take effect upon its passage.
